The Parties allow for the possibility of amending the provisions of the Agreement in relation to the content of the tender, on the basis of which the Contractor was selected, in the event of the occurrence of at least one of the circumstances listed below, taking into account the conditions for their introduction indicated in the Agreement, i.e.:\n1)\tchange of the deadline for realisation of the whole or part of the Subject of the Agreement - in the event of occurrence of external reasons beyond the control of the Ordering Party or the Contractor resulting in the impossibility of meeting the original deadlines under the Agreement, including those caused, among others, but not exclusively, by:\na.\tunforeseeable necessity to change the production schedule for the implementation of vehicle testing by the Ordering Party;\nb.\tunforeseeable at the stage of placing the order, necessity to change the scope of work, requiring more trials and tests\n- in which case the Parties shall accept another possibly short deadline for the execution of the Contract;\n2)\tchange of the Contractor's remuneration - if it is shown that the changes referred to in items 1 b will involve additional costs to be incurred by the Contractor, with the proviso that the change of remuneration may correspond exclusively to the costs which the Contractor has incurred or will have to incur in connection with such change.\n2. Amendments to the Agreement referred to in paragraph 1 shall be possible only if the circumstances justifying them are documented.\n3. The cases referred to in paragraph 1 contain a catalogue of amendments to which the Ordering Party may give its consent, but do not at the same time constitute an obligation to give such consent.\n4.\tThe Ordering Party allows amendments to the contract to be introduced on the terms provided for in section 3.2.4 The contract agreement, Subsection 3.2 Principle of competition, Guidelines for eligibility of expenditure for 2021-2027:\n\nIt is forbidden to change essential provisions of the concluded contract in relation to the content of the offer on the basis of which the contractor was selected, unless at least one from the following circumstances:\n1)\tchanges were provided for in the request for proposals in the form of unambiguous contractual provisions that define their scope and character and the conditions for introducing changes,\n2)\tchanges relate to the implementation of additional supplies, services or works from the existing contractor, not covered by the basic contract, if they have become necessary and all the following conditions have been met:\nI.\tchange of contractor cannot be made for economic or technical reasons, in particular concerning interchangeability or interoperability of equipment, services or installations, ordered under the basic contract,\nII.\ta change of contractor would cause substantial inconvenience or a significant increase in costs for the contracting authority\nIII.\tthe value of the changes does not exceed 50% of the value of the contract originally specified in the contract,\n3)\tthe change does not change the nature of the contract and the following conditions have been met:\nI.\tthe need to change the contract is due to circumstances that The Ordering Party, acting with due diligence, could not have foreseen;\nII.\tthe change value does not exceed 50% of the original order value agreement;\n4)\tthe contractor, which the Ordering Party has awarded the contract, is to replace the new contractor:\nI.\tas a result of the merger, division, transformation, bankruptcy, restructuring or acquisition of the existing contractor or its enterprise, provided that the new contractor meets the conditions for participation in the proceedings, there are no grounds for exclusion and this does not entail other significant changes to the contract , and it is not intended to avoid the application of the competitive principle, or\nII.\tas a result of the Ordering Party taking over the obligations of the contractor towards its subcontractors - The Contractor shall provide the possibility of daily rental for a period of up 5 months from the scheduled test start date. The Ordering Party reserves the right to inform the Contractor one day in advance about cancellation or resumption of tests conducted by the Ordering Party. During the period of suspension of testing, the Ordering Party shall not bear the costs of track rental.\nPlanned number of track tests - The Ordering Party plans to carry out 250 test cycles, each 1.5 hours long.\n\n11.Possibility to start renting the track from 15.04.2024\n\n12.The offer tender will include the price:\n\nI.\thourly and daily rate for renting the track together with the required technical infrastructure\nII.\thourly rate for technical support and track maintenance (manhour)\nIII.\tthe rate per kWh of electricity used on the track\n\nOn the part of the ordering party: loader, technical facilities (spare parts, tools, aids), personnel - min. 4 persons for each 2-week shift.\n\nd.
